Theodore Kitai understands that client needs are diverse and often require effective solutions that must be tailored for a specific need. He is not only able to address the issues at hand but can spot issues that can be of critical importance to a client in the future. As an example, Mr. Kitai can represent parties in the purchase of a business, assist in the strategic growth of that business and work with the client to plan future exit strategies.
Mr. Kitai practices in corporate, transactional, and business law. His practice concentration is in drafting and reviewing contracts, company restructuring, and transactions involving closely held businesses.
Mr. Kitai's involvement and expertise includes but is not limited to the following:
- The formation, restructuring and merger of companies
- Sale and acquisition transactions involving corporations, partnerships, and limited liability companies
- Regulatory matters ranging from consumer products to solid waste management
- The representation of clients in a variety of industries such as independent and franchised restaurants, food brokers, automobile dealerships, commercial trucking companies, commercial transporters and logistics companies, retail stores, solid waste management companies, commercial and residential contractors, and commercial real estate developers
In addition to general corporate and transactional matters, Mr. Kitai regularly assists clients having a variety of business needs, including:
- Creating marketing campaigns
- Securing trademarks and service marks
- Assisting in website content and design
- Preparing employment contracts and independent contractor agreements
- Preparing non-competition and confidentiality agreements
- Assisting in workouts, settlement negotiations, and business litigation matters
Mr. Kitai graduated from the University of Tennessee in 1994, magna cum laude, with a B.S.B, and in 2000 with a doctor of jurisprudence. He was admitted to practice in 2000 and is a member of the Tennessee and Memphis Bar Associations. In his spare time he enjoys playing golf, attending performing arts events, and writing and performing music.
